Job Description :

Designation: Company Secretary (Having 3 – 5 years of post qualification experience)

Job description

  • Schedule & attend meetings of the shareholders as well as board of directors and prepare minutes of meetings thereof
  • To conduct annual general meetings, addressing shareholder queries. 
  • Scheduling meetings with organizations legal advisors
  • Complying with the various requirements with respect to Companies Act, 2013, SEBI Rules and Regulation, Listing Obligations and Disclosure Requirements and RBI norms
  • Liaisoning with various regulators like Registrar of Companies, Regional Director, Official Liquidators, Stock exchanges, SEBI, NSDL and CDSL
  • Preparation of Corporate Governance Report and other reports under Listing Obligations and Disclosure Requirements
  • Co-ordination with Statutory, Internal & Secretarial Auditors
  • Maintenance and updating statutory records and registers
  • Monitoring and advising the management on the necessary changes in regulatory compliances and legislation
  • To maintain the records of insured property of Company and process claims as & when arises
  • To maintain the coordination with regulatory authorities 
  • Manage investor relations
  • To handle Regular Suits, Summary Suits, Writ Petitions, Consumer Complaints, Accident Claims and Unfair Labor Practice Matters etc
  • To handle Arbitration Matters; drafting statement of claim, reply, written arguments & statement of claims
  • Facilitating conciliatory measures to various corporate houses
  • Conceiving legal strategies on cases pertaining to Civil, Criminal, and Property laws after careful assessment of case history, merits and demerits
  • To represent the organization in Consumer Forums, Debt Recovery Tribunals, High Court and City Civil Court and other courts with respect to claims of various Financial Institutions 
  • To comply with the Employees Stock Option Plan, 2015 of the Company
  • Prepare Annual Report considering all the timely changes with the compliances as per guidelines issued under Companies Act, 2013, Listing Obligations and Disclosure Requirements and SEBI
  • Undertake all the compliances with Stock Exchanges, where the shares of the Company are listed
  • Liasioning with Registrars to transfer agents of the Company
